1. Acceptance of Terms

By accessing or using any NeuralVision product, service, or website (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization or institution, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not use the Service.

2. Definitions

"NeuralVision", "We", "Us", or "Our" refers to NeuralVision – FZCO, a Freezone Company registered in Dubai Silicon Oasis, Dubai, UAE (Commercial License 17012).

"User", "You", or "Your" refers to any individual or entity accessing or using the Service.

"Platform" refers to the NeuralVision web application, APIs, and associated software tools accessible at neuralvisionlab.com or via licensed distribution.

"Content" means any data, analyses, outputs, images, reports, or other materials generated through or made available via the Service.

3. Intended Use & Medical Disclaimer

NeuralVision products are designed as decision-support tools intended for use by qualified medical professionals and licensed ophthalmology practitioners. They are NOT a substitute for professional medical judgment, clinical diagnosis, or treatment decisions.

All analyses, measurements, and outputs provided by the Service are informational in nature. Final clinical decisions must always be made by a licensed medical professional who bears full responsibility for patient care.

NeuralVision does not practice medicine and does not provide medical advice. Nothing in the Service should be construed as medical advice or a recommendation for any specific patient treatment.

Users are solely responsible for ensuring that their use of the Service complies with all applicable local, national, and international medical regulations, including but not limited to device regulations, clinical guidelines, and patient consent requirements.

4. Account Registration & Security

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@neuralvisionlab.com of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

5. License & Permitted Use

Subject to your compliance with these Terms, NeuralVision grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal clinical or research purposes.

You must not:

• Copy, reproduce, distribute, or create derivative works from any part of the Service or its Content without our express written consent.
• Reverse engineer, decompile, disassemble, or attempt to extract the source code or underlying algorithms of the Service.
• Sell, resell, sublicense, or commercially exploit the Service or any output thereof without a separate written agreement.
• Use the Service to train, fine-tune, or build competing AI or machine learning models.
• Circumvent any security measures, rate limits, or access controls implemented in the Service.
• Upload or transmit patient data in a manner that violates applicable data protection or privacy regulations.

6. Data, Privacy & Patient Information

Your use of the Service is governed by our Privacy Policy. Please review it carefully to understand how we collect, use, and protect your information.

You are solely responsible for obtaining all necessary patient consents and for complying with applicable healthcare privacy laws (including HIPAA, GDPR, UAE healthcare regulations, or equivalents in your jurisdiction) before uploading or processing any patient data through the Service.

We implement industry-standard technical and organizational security measures. However, you acknowledge that no electronic transmission or storage method is completely secure.

7. Intellectual Property

All intellectual property rights in the Service, including patents, software, algorithms, trademarks, and Content created by NeuralVision, are owned by or licensed to NeuralVision – FZCO. These rights are protected by UAE and international intellectual property laws.

Nothing in these Terms transfers any ownership of NeuralVision's intellectual property to you. Your use of the Service does not grant you any rights to our trademarks, logos, or brand elements.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance, updates, and circumstances beyond our control may cause temporary downtime.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law, NeuralVision and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.

In particular, NeuralVision shall not be liable for any clinical decisions made by healthcare professionals based on outputs from the Service, patient harm arising from such decisions, loss of data, or unauthorized access to user accounts.

Our total liability for any claim arising under these Terms shall not exceed the amount paid by you to NeuralVision in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless NeuralVision – FZCO, its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable laws or third-party rights.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice within the Service at least 14 days before taking effect.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
